Terms & Conditions

These Terms & Conditions ("Terms") govern your use of cribbit.app (the "App") and any design, order, purchase, download, communication, or other interaction with Cribbit Systems Inc. ("Cribbit", "we", "us", or "our").

By creating an account, designing an insert, downloading a design file, or submitting an order, you agree to these Terms.

If you do not agree to these Terms, do not use the App or submit an order.

Cribbit also operates cribbitinserts.com, which offers a different service under its own separate terms. These Terms apply to cribbit.app.

1. About Cribbit

Cribbit Systems Inc. is a company incorporated in British Columbia, Canada (incorporation number BC1581500), based in Kelowna, British Columbia.

In these Terms, "Cribbit" refers to Cribbit Systems Inc.

Our full registered address appears on your invoice and order confirmation, and is available on request.

2. Your statutory rights

If you are purchasing as a consumer — that is, for personal, family, or household use rather than for a business — you have rights under consumer protection law that these Terms cannot take away.

Nothing in these Terms excludes, restricts, or limits any warranty, condition, guarantee, or right that cannot lawfully be excluded, restricted, or limited under applicable law, including the Business Practices and Consumer Protection Act (British Columbia) and the Sale of Goods Act (British Columbia).

Where any provision of these Terms conflicts with a right you have that cannot lawfully be excluded, that right applies and the conflicting provision does not.

3. Your account

You need an account with a verified email address to submit an order. Your verified email address is where we send your order confirmation and your invoice, so it must be one you can receive mail at.

You are responsible for the accuracy of your account details, for keeping your sign-in credentials secure, and for activity that occurs under your account.

You must be at least the age of majority where you live to create an account or place an order. That is 19 in British Columbia and some other provinces, and 18 in most other places in Canada and the United States. If you are younger, you may use Cribbit only through a parent or guardian who accepts these Terms and places any order themselves.

We do not verify age. If we learn that an account belongs to someone under the age of majority acting without a parent or guardian, we may suspend or close it.

You may request deletion of your account at any time. What happens to your data when you do is described in Section 23 and in our Privacy Policy.

We may suspend, restrict, or terminate access to the App at any time if we believe these Terms have been violated, or if needed to protect our business, the App, or our customers.

4. Using the App

You may use the App only for lawful purposes and in a manner consistent with these Terms.

You agree not to:

  • use the App in any way that could damage, disable, overburden, or impair the App or our systems;
  • interfere with the security or proper operation of the App;
  • attempt to gain unauthorized access to any part of the App, related systems, or other users' accounts or designs;
  • copy, scrape, reproduce, republish, sell, or exploit App content or output except as permitted by these Terms, by law, or with our written consent; or
  • use the App for fraudulent, misleading, abusive, or unlawful purposes.

The design tool

The App detects the outlines of tools in a photograph automatically and places them into a drawer layout you can adjust. This detection is assistive, not authoritative. It produces a starting point that you are responsible for reviewing and correcting. Section 11 explains how that responsibility is shared.

Previews and renderings shown in the App are visual representations of your design. They are not manufacturing files and are not to scale.

We do not guarantee that the App will be uninterrupted, error-free, or available at any particular time. We may change, suspend, or discontinue any part of the App, and we may change or remove features. We will not delete a submitted order because of a feature change.

5. Custom-made nature of orders

Cribbit products are custom-made based on the design you create and the information you supply. Products are not off-the-shelf items and may vary from order to order.

Because each product is made specifically for you, all orders are subject to review, feasibility, manufacturability, and acceptance by Cribbit.

Minor variations may occur in dimensions, pocket shape, foam colour, or other non-material details as part of the custom design and manufacturing process.

6. Placing an order

You may hold up to 30 unique inserts in your cart at one time.

Submitting an order does not create an accepted order. A submission is a request, and the App does not take payment at the time you submit.

When you submit, we freeze a copy of your design, your delivery details, and your total. Your original design stays in your account and stays editable; you can order it again as a separate order at any time.

Submitting is your approval of the design. Cribbit does not issue a separate proof for the App. The layout you submit — pocket positions, sizes, orientation, spacing, and the drawer dimensions behind them — is the design you have approved for manufacturing. Review it before you submit.

An order is accepted only when all of the following have occurred:

  • you have submitted the order through the App;
  • Cribbit has reviewed the submission and confirmed the order;
  • Cribbit has issued an invoice; and
  • Cribbit has received payment in full.

Until all of those have occurred, no contract for the manufacture of your order exists, and either you or Cribbit may decline to proceed.

We may refuse or cancel any submission before acceptance, including where the design is not manufacturable, where the submitted information is incomplete, inconsistent, or unsuitable for accurate manufacturing, or where a requested product or feature is not feasible. If we do, we will tell you why.

7. Prices, taxes, and shipping

All prices are in Canadian dollars (CAD).

The price of an insert is calculated by the App from the size of your drawer. Shipping is calculated from the size and destination of your order, and is charged on every order. The App shows your full total, itemised, before you submit.

The total shown when you submit is the total we invoice. At submission we freeze every amount making up that total, together with the tax jurisdiction we applied. A later change to our prices, our rates, or any tax, duty, or charge that applies does not change what you owe on an order you have already submitted.

Applicable taxes are charged as required by law, based on the delivery address you provide. Tax is calculated on the order subtotal after any discount, plus shipping — which means shipping is taxed.

Orders shipped outside Canada may be subject to duties, tariffs, customs processing fees, brokerage fees, and other import-related charges. Any applicable charges are included in the total shown before you submit your order.

8. Payment

Cribbit invoices after reviewing and confirming your order. We aim to send your invoice within 5 business days of submission.

Production begins after payment. Full payment is required before we begin manufacturing, unless we agree otherwise in writing.

We issue invoices through a third-party invoicing or payment service provider. You are responsible for paying the invoiced amount by the stated due date and by the stated payment method.

If an invoice is not paid within 30 days of being issued, Cribbit may cancel the order. Because an order is not accepted until payment is received (Section 6), cancelling an unpaid invoice withdraws an offer rather than terminating a contract. Nothing is owed by either party. You are free to submit the order again.

If payment is not received when due, we may also delay or suspend the order instead of cancelling it.

9. Promotion codes

Promotion codes are issued at Cribbit's discretion. Unless we state otherwise, a code is single-use, has no cash value, cannot be combined with another code or offer, and applies only to an order submitted while the code is valid.

We may withdraw or change a promotion code at any time.

A withdrawn code never affects an order you have already submitted. The discount is frozen into your order at submission along with the rest of your total, so we cannot claw it back later.

10. Your photos and measurements

Your insert is designed from information you provide, including your drawer photograph, your drawer dimensions, and the layout you arrange. The accuracy of the finished product depends in part on the quality, clarity, and accuracy of what you submit.

You are responsible for ensuring that the information you submit is complete and accurate, including without limitation:

  • drawer dimensions;
  • the drawer photograph;
  • the tool arrangement shown in the photograph;
  • the pocket positions, sizes, and orientation in the layout you submit; and
  • any notes or instructions you provide to Cribbit.

Cribbit is not responsible for errors in the finished product that result from incorrect, incomplete, inconsistent, outdated, or unclear information you provide.

Limitations of photo-based design

You acknowledge that a photograph may contain limitations that affect design accuracy, including without limitation:

  • drawer boundaries, especially the inside corners, not being clearly visible;
  • photo angle, camera tilt, perspective distortion, or other image distortion that makes scaling or boundary verification less reliable;
  • distortion caused by taller objects;
  • poor lighting or low image quality;
  • low contrast between tools and background;
  • unclear or partially hidden tool edges; and
  • tool spacing that is too tight to allow adequate foam strength.

These limitations affect automatic detection as well as the finished design. Even where a submission appears acceptable, minor deviations may still occur in pocket shape, pocket size, or insert fit as a result of the photo-based process.

Design adjustments

To improve manufacturability, durability, and usability, Cribbit may make reasonable design adjustments before manufacturing, including shifting or aligning pockets, adjusting spacing, or modifying details needed to produce a functional insert. We may also determine that a layout, spacing, or requested feature is not suitable for production.

Right to request a new submission

We may require a new photograph, new measurements, a different tool arrangement, or other updated information before proceeding, where we believe the risk of error is too high.

11. Fit and accuracy

The detection in the App is assistive. The layout you submit is what governs — not what detection initially produced, and not what a preview appeared to show.

You must inspect the product promptly after delivery. Claims relating to fit, alignment, pocket size, or layout must be reported to Cribbit within 30 days after delivery. Claims relating to an alleged workmanship or manufacturing defect covered by Section 20 must be reported within 1 year after delivery. You must provide photographs and any other information we reasonably request to review the issue.

If we determine that a material issue was caused by Cribbit's own design adjustment or manufacturing process, and was not caused by information you supplied, the layout you approved, or other excluded circumstances under these Terms, we may choose, in our sole discretion, to repair, remake, replace, issue a credit, provide a partial refund, provide a full refund, or offer another reasonable remedy.

Except where required by law, Cribbit is not obligated to provide any particular remedy, and the appropriate remedy, if any, will be determined by Cribbit based on the circumstances of the order.

Cribbit is not responsible for fit, alignment, pocket size, or layout issues caused by:

  • incorrect or inconsistent measurements you supplied;
  • poor or misleading photographs;
  • hidden or unclear drawer boundaries or tool edges;
  • distortion in the submitted image;
  • pocket positions, sizes, or orientation as you submitted them;
  • tools not being in the same arrangement, orientation, or condition as shown in the submitted photograph; or
  • your drawer differing from the dimensions you entered.

Nothing in this section prevents Cribbit from offering a courtesy adjustment, remake, replacement, refund, credit, or other accommodation in any particular case.

12. Cancellation

Orders cannot be cancelled in the App. To ask about cancelling an order, contact orders@cribbit.app, quoting your order reference.

Cribbit may cancel an order:

  • during review, before an invoice is issued — for example where the design is not manufacturable;
  • where an invoice has been issued and remains unpaid after 30 days (Section 8).

Where we cancel, we tell you the reason.

Once an order is paid or in production, it cannot be cancelled in the App. An order at that stage is a commercial matter to be resolved with us directly, subject to Section 14 and to your statutory rights under Section 2.

There is no in-app correction workflow for a submitted order. If your design needs to change after submission, the order is cancelled and you submit a corrected insert as a new order.

13. Delivery

Cribbit ships to Canada and the United States only. We do not offer local pickup unless we expressly agree otherwise in writing.

You are responsible for providing a complete and accurate delivery address. We check the format of postal and ZIP codes, but we do not verify that an address is deliverable. An order sent to an address you entered incorrectly is not a Cribbit error.

Any production time, dispatch date, or delivery date we provide is an estimate only unless we expressly state otherwise in writing. The one firm commitment we make is to send your invoice within 5 business days of submission (Section 8).

We are not responsible for delays caused by incomplete information, delayed payment, supply interruptions, shipping carrier issues, customs processing, weather, force majeure events, or other causes beyond our reasonable control.

Risk of loss and title pass to you on delivery to you — not on handover to the carrier.

If a shipment arrives visibly damaged, notify us as soon as reasonably possible and retain the packaging and the product for review. We may request photographs or other supporting information.

14. Returns and refunds

Because Cribbit products are custom-made, all orders are final sale, except to the extent required by law, where your statutory rights under Section 2 apply, or where Cribbit chooses to provide a remedy under these Terms.

Cribbit does not accept returns or provide refunds for:

  • change of mind;
  • ordering mistakes;
  • dimension errors in information you supplied;
  • photo or layout issues in what you submitted;
  • design details in the layout you approved at submission; or
  • normal variations inherent in the custom process that are not material defects.

Where we determine that a remedy is appropriate due to our own verified design or manufacturing issue, or under the limited warranty in Section 20, we may choose the remedy in our sole discretion, including repair, remake, replacement, credit, partial refund, full refund, or another reasonable remedy.

Where we provide a replacement or remake due to our own verified error, we cover reasonable replacement shipping costs.

If a remake, replacement, or other additional work is required because of errors in what you supplied, changes you requested, or circumstances for which we are not responsible under these Terms, additional charges may apply, including shipping.

15. Product use, limitations, and care

Cribbit products are intended for ordinary organizational use in suitable indoor environments unless otherwise stated in writing.

You are responsible for determining whether the product is appropriate for your intended application. Unless otherwise agreed in writing, Cribbit products are not represented as suitable for every environment, condition, or use case.

Cribbit is not responsible for damage, wear, performance issues, or reduced lifespan caused by or related to:

  • misuse, abuse, or improper handling;
  • cutting, trimming, modifying, or reworking the product after delivery;
  • use with a different tool arrangement, tool condition, or layout than the one submitted;
  • prolonged, excessive, or improper exposure to chemicals, solvents, oils, heat, flame, moisture, UV, weather, or other environmental conditions that may degrade or affect the material over time;
  • excessive force, sharp edges, overloading, or unusual wear conditions; or
  • improper storage, maintenance, installation, or use.

Natural wear, ordinary compression, cosmetic changes, and reasonable material aging over time are not defects.

16. Your content and permissions

You keep ownership of the photographs, dimensions, notes, and other materials you provide.

You grant Cribbit a licence to use them to do the job. Specifically, you grant us a non-exclusive, royalty-free licence to store, process, reproduce, adapt, and create derived files from your submitted content for the purposes of:

  • detecting outlines and generating your layout in the App;
  • reviewing, designing, and manufacturing your order;
  • producing the manufacturing files and records for your order;
  • remaking or replacing your order; and
  • retaining the records described in Section 23 for the periods stated there.

This licence lasts as long as we retain the associated content under Section 23, and no longer.

If you provide names, markings, labels, logos, trademarks, drawings, or other materials, you represent that you have the right to provide them and to authorize Cribbit to use them for these purposes. You are solely responsible for ensuring that content you supply does not infringe the rights of any third party.

We may refuse to reproduce any material we believe may be unlawful, infringing, offensive, misleading, or otherwise unsuitable.

This licence is separate from, and does not include, permission to use your data to improve our detection models. That is a separate opt-in choice described in Section 23.

17. Intellectual property

All content in the App, including text, graphics, branding, logos, images, layouts, and other materials, is owned by Cribbit or used with permission, and is protected by applicable intellectual property laws.

Any layout, design file, production file, drawing, rendering, or other material created by Cribbit or generated by the App remains the property of Cribbit unless we expressly agree otherwise in writing.

You may not reproduce, distribute, publish, sell, transfer, or reverse engineer Cribbit-generated materials, except as expressly permitted by these Terms.

Section 18 grants an express licence to use a design file you download. The restriction above does not limit that licence.

Nothing in these Terms transfers any intellectual property rights from Cribbit to you, except for the rights necessary to receive and use the product you purchased and the licence granted in Section 18.

18. Design file (DXF) downloads

The App can produce a DXF file of your design for you to download.

Your licence

When you download a DXF file from the App, Cribbit grants you a perpetual, non-exclusive, non-transferable licence to use that file for your own purposes — including having it cut by a third party, on your own equipment or someone else's, for your own use.

You may not resell, redistribute, sublicense, publish, or otherwise make the file itself available to others, and you may not use it to manufacture products for sale to third parties.

The launch promotion

DXF downloads are free during our launch promotion. After the promotion ends, DXF downloads will become a paid feature. We will give notice in the App before we begin charging. Designing and ordering foam inserts through the App remains free.

A file you have already downloaded stays yours under the licence above, whatever happens to the promotion.

No warranty on a downloaded file

A downloaded DXF file is provided "as is" and carries no fit warranty.

The limited warranty in Section 20 applies to products manufactured and delivered by Cribbit. It does not apply to an insert that you or a third party cut from a downloaded file. We do not control the material, thickness, machine, kerf, tolerances, or workmanship involved, and we have no way to verify any of them.

We are not responsible for material wasted, time spent, or results obtained when a downloaded file is cut by anyone other than Cribbit.

19. Marketing and project photos

Cribbit will not use your photographs, drawer images, or project images for marketing without your permission.

If you separately give permission for us to use images of a completed project, finished insert, or related materials for marketing or portfolio purposes, that permission is subject to the scope agreed at that time.

20. 1-year limited workmanship warranty and disclaimer of other warranties

Subject to these Terms and to any rights that cannot lawfully be excluded, Cribbit warrants to the original customer for 1 year from delivery that a product manufactured and delivered by Cribbit will materially conform to the layout submitted with the order and will be free from material defects in Cribbit's workmanship or manufacturing under ordinary indoor organizational use.

This warranty applies only to physical products manufactured and delivered by Cribbit. It does not apply to a downloaded DXF file, or to anything cut from one by a party other than Cribbit (Section 18).

This limited warranty does not apply to issues caused by or related to dimensions, photographs, tool arrangement, or layout details you supplied or approved; misuse; abuse; modification, cutting, or trimming after delivery; improper storage, maintenance, installation, or use; prolonged, excessive, or improper exposure to chemicals, solvents, oils, heat, flame, moisture, UV, weather, or other environmental conditions; excessive force, sharp edges, overloading, or unusual wear conditions; or normal wear, compression, cosmetic changes, and reasonable material aging over time.

Claims relating to fit, layout, pocket size, or alignment must be reported within 30 days after delivery. Claims relating to an alleged workmanship or manufacturing defect under this section must be reported within 1 year after delivery. You must provide photographs and any other information we reasonably request to review the claim.

If we determine that a covered issue exists, we may, at our option, repair, remake, replace, issue a credit, provide a partial refund, provide a full refund, or offer another reasonable remedy. Except where required by law, Cribbit is not obligated to provide any particular remedy.

To the maximum extent permitted by law, and except as expressly stated in this section and elsewhere in these Terms, the App and related services are provided on an "as is" and "as available" basis. Cribbit does not guarantee that the App will be uninterrupted, error-free, secure, or free from harmful components.

To the maximum extent permitted by law, and except as expressly stated in this section and elsewhere in these Terms, Cribbit disclaims all other warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement.

Nothing in these Terms excludes, restricts, or limits any warranty, condition, or right that cannot lawfully be excluded, restricted, or limited under applicable law. See Section 2.

21. Limitation of liability

To the maximum extent permitted by law, Cribbit will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of revenue, loss of profits, loss of business, loss of opportunity, loss of data, or business interruption, arising out of or related to the App, any design, any order, any product, any downloaded file, any delay, or these Terms, even if Cribbit has been advised of the possibility of such damages.

To the maximum extent permitted by law, Cribbit's total aggregate liability arising out of or related to any order, product, or these Terms will not exceed the amount actually paid by you to Cribbit for the specific order giving rise to the claim.

The limitations in these Terms apply regardless of the legal theory asserted, whether in contract, tort, negligence, strict liability, statute, or otherwise.

Nothing in these Terms limits liability that cannot lawfully be limited or excluded. See Section 2.

22. Indemnity

You agree to indemnify and hold harmless Cribbit Systems Inc. and its directors, officers, employees, contractors, and agents from and against claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • information or content you supplied;
  • your breach of these Terms;
  • your misuse of the App, a product, or a downloaded file; or
  • a claim that content or instructions you supplied infringed the rights of a third party.

23. Privacy and your data

Your use of the App and your submission of personal information are governed by our Privacy Policy, which explains how we collect, use, disclose, store, and protect personal information. The summary below is for convenience; the Privacy Policy governs.

How long we keep things

  • Order records — 8 years from submission. This includes your order reference, contact and delivery details, amounts, payment reference, dates, manufacturing files, and a frozen image of what was ordered. These are business and tax records and we are required to keep them.
  • Design history — 2 years from submission. The drawer photograph and the design checkpoint behind your order.
  • Cancelled orders that were never invoiced — 90 days after cancellation, then deleted.

Account deletion

You can request deletion of your account at any time. Your designs, carts, and any contributed samples are deleted immediately, and nothing delays the request.

Two consequences to be aware of:

  • An order already in progress is not cancelled and is not put on hold. It continues to review, invoicing, manufacturing, and delivery as a normal order, using the details you gave when you submitted it.
  • Order records survive account deletion, unlinked from your account, for the 8-year period above. We cannot delete a tax record on request.

After your account is deleted you can no longer see your orders in the App. Contact orders@cribbit.app about them, quoting your order reference.

Model improvement is a separate choice

Cribbit may ask for your permission to use your images and designs to improve our automatic detection. That is a separate, specific, and revocable choice with its own consent record.

Accepting these Terms does not give that permission, and nothing in these Terms is to be read as giving it. You can grant or withdraw it at any time in the App, independently of these Terms and independently of any order.

24. Changes to these terms

Cribbit may update these Terms from time to time.

When we make changes, we post the updated version and update the Effective Date at the top of the page.

The version in effect when you submitted an order governs that order, unless otherwise required by law or agreed in writing. We record which version you accepted with your order.

Superseded versions are kept and are available on request.

25. Governing law and dispute resolution

These Terms and any dispute, claim, or controversy arising out of or relating to the App, any order, any product, any downloaded file, or these Terms will be governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict of law principles.

The courts located in British Columbia, Canada have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except where applicable law requires otherwise.

26. Severability, entire agreement, and contact

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions continue in full force and effect to the maximum extent permitted by law.

Entire agreement. These Terms, together with our Privacy Policy, your order confirmation, your invoice, and any other written terms we expressly incorporate, form the entire agreement between you and Cribbit regarding your use of the App and any order, and supersede prior discussions or understandings on that subject matter, except where expressly agreed otherwise in writing.
